Governance and secretarial support
For companies whose board meets, but whose paperwork lags. We help the board and the company secretary run a calendar, prepare papers and keep the records a company must keep.
You may need this when…
- 01Board meetings are fixed at short notice and papers arrive on the day
- 02Minutes are drafted weeks later from memory
- 03Registers and event-based filings are tracked in someone's inbox
- 04A foreign parent needs its India subsidiary's governance to match group policy
Four things, in writing.
Each deliverable is yours: built in your tools, owned by a named person in your team.
Board calendar
The year's meetings planned against the Companies Act frequency rules and the reporting cycle.

Registers
Statutory registers set up and kept current: members, directors, charges and contracts with related parties.

Four stages.
Dates for each stage are fixed in the written scope before work starts. The full method
Review
What is on file now, and what is missing.
Catch up
Registers and minute books brought up to date.
Calendar
The year planned, papers templated.
Keep
A standing monthly routine with the company secretary.
What this is not.
- Certifications, secretarial reports or appearances that the law reserves for a company secretary in practice. Where those are needed, the company appoints one; we prepare the papers.
Common questions.
How often must a company's board meet?
The first board meeting within 30 days of incorporation, then at least four a year with no more than 120 days between two meetings (section 173(1)). Some small, one-person, dormant and start-up private companies may meet once in each half of the calendar year instead (section 173(5)).
